About Just Gold

Just Gold is Australia’s first certified social enterprise management consultancy and creative agency. We are Autistic and LGBTIQA+ owned and led, with offices in Melbourne and Sydney, and work nationally with government, peak bodies and major organisations across strategy, communications, disability inclusion, social procurement and creative production.

Purpose of the board

The Advisory Board provides independent advice and constructive challenge to the Founder and CEO on strategy, national growth, market entry, governance maturation, financial discipline and social impact. It is a deliberate precursor to a formal board of directors, intended to be constituted by the end of FY2028.

What members do

  • Give independent advice and constructive challenge to the Founder and CEO at each quarterly meeting.
  • Read the agenda and papers, which are circulated five business days before each meeting.
  • Provide occasional input out of session, on the same terms as advice given in a meeting.
  • Declare actual, potential and perceived conflicts of interest on appointment and as they arise.

The board will have three to five members. Advisory service neither guarantees nor precludes an invitation to the formal board.

Scope

Within scope: strategy and its execution, market entry and growth including Queensland, governance and financial discipline, capability build, impact and mission integrity.

Outside scope unless expressly invited: day to day management, employment matters, client engagements, and any matter that would require a member to direct staff or deal with third parties on Just Gold’s behalf.

What we are looking for

  • Governance, finance and risk
  • Government procurement, particularly in Queensland
  • Scaling a professional services business
  • Social enterprise, impact and investment readiness
  • Brand, marketing and the creative industries

We are seeking diverse leadership and lived experience across the Advisory Board, rather than within a single designated seat.

Just Gold is an Autistic and LGBTIQA+ owned certified social enterprise. We welcome applications from people with disability and neurodivergent people, and provide adjustments at any stage of the process on request.

Volunteer and remunerated positions

Both volunteer and remunerated positions are offered on this board. Remunerated members receive a fixed fee per meeting, inclusive of preparation and reasonable out of session input, applied equally across remunerated members. Reasonable expenses incurred at Just Gold’s request and approved in advance are reimbursed. Please tell us in your expression of interest which you are seeking.

How the board works

The board is advisory only. Members are not directors, officers, employees or agents of Just Gold Digital Agency Pty Ltd, have no authority to make decisions for or represent the company, and do not take on directors’ duties. All decisions remain with the company’s director.

All papers and discussions are confidential, and each member signs a confidentiality deed on appointment. Members may state the fact of their membership, but make no public comment for or about Just Gold without the CEO’s prior approval. Members keep their own intellectual property and methodologies.

Either party may end an appointment with thirty days written notice. The company may invite a member to act as independent convenor as part of the transition to a formal board.
